These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Halo Sp. z o.o., a company registered in Poland (NIP: PL9542880835, REGON: 540462426), with its registered office at ul. Warszawska 40/2A, 40-008 Katowice, Poland, trading as Sparq Ads (“SparqAds,” “we,” “us,” or “our”).
By accessing or using the SparqAds platform at https://sparqads.com (the “Platform”), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” and “your” refer to that organization.
SparqAds is an AI-powered advertising platform that enables users to create, manage, deploy, and optimize advertising campaigns across multiple digital advertising platforms, including Meta (Facebook and Instagram), Google Ads (Search, Display, and YouTube), and LinkedIn Ads.
Our services include, but are not limited to: AI-powered ad creative generation (images, copy, and video concepts), cross-platform campaign management, smart A/B testing with automatic optimization, AI-driven budget allocation, unified pixel tracking and attribution, and real-time analytics dashboards.
To use the Platform, you must create an account by providing accurate and complete information. You are responsible for:
You must be at least 16 years old to create an account and use the Platform. We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.
SparqAds offers several subscription tiers (Free, Starter, Professional, and Business), each with different feature sets, usage limits, and pricing. Details of each plan are available on our pricing page. We reserve the right to modify plan features and pricing with 30 days' prior notice.
Paid subscriptions are billed either monthly or annually, as selected at the time of purchase. Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. The renewal will be at the then-current rate.
All payments are processed securely through Stripe, Inc. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis. All fees are stated in US Dollars and are exclusive of applicable taxes unless otherwise stated.
Subscription fees are generally non-refundable. If you cancel your subscription, you will retain access to the paid features until the end of the current billing period. In exceptional circumstances, refund requests may be considered on a case-by-case basis at our sole discretion. Contact us at contact@sparqads.com for refund inquiries.
We offer a 14-day free trial of the Professional plan to new users. The free trial provides full access to Professional plan features during the trial period. No credit card is required to start the free trial.
At the end of the 14-day trial period, you may choose to subscribe to any paid plan or continue using the Platform on the Free plan with reduced features. If you do not select a paid plan, your account will automatically transition to the Free tier.
We reserve the right to modify, suspend, or discontinue the free trial offer at any time. Free trial eligibility is limited to one trial per user or organization.
Subject to your compliance with these Terms and applicable law, you retain ownership of the outputs generated by our AI tools based on your inputs and brand assets. You are granted a perpetual, worldwide, non-exclusive license to use, modify, and distribute the AI-generated content for your business purposes.
AI-generated content is provided on an “as is” basis. While we strive for high quality, we do not guarantee that AI-generated content will be error-free, accurate, suitable for any particular purpose, or free from bias. AI-generated creatives may require review and editing before publication. We strongly recommend that you review all AI-generated content before deploying it in advertising campaigns.
You are solely responsible for ensuring that all content (including AI-generated content) used in your advertising campaigns complies with applicable laws, regulations, and the policies of the advertising platforms on which the campaigns are published. This includes but is not limited to advertising standards, intellectual property laws, and consumer protection regulations.
You agree not to use the Platform to:
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.
SparqAds integrates with third-party advertising platforms, including Meta (Facebook and Instagram), Google Ads, and LinkedIn Ads. Each of these platforms has its own advertising policies, terms of service, and content guidelines.
You are solely responsible for:
SparqAds is not responsible or liable for any ad rejections, account suspensions, or penalties imposed by third-party advertising platforms as a result of your content, targeting choices, or campaign configurations. We do not guarantee that content created or managed through our Platform will be approved by any advertising platform.
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal data. By using the Platform, you acknowledge that you have read and understood our Privacy Policy. Our use of cookies is further detailed in our Cookie Policy.
The Platform, including its software, design, user interface, algorithms, AI models, documentation, and all associated intellectual property rights, is and remains the exclusive property of Halo Sp. z o.o. Nothing in these Terms transfers any ownership of the Platform or its components to you. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms.
You retain all ownership rights to your brand assets, logos, images, copy, data, and other content that you upload to or create through the Platform (“Your Content”). By uploading Your Content to the Platform, you grant us a limited, non-exclusive, worldwide license to use, process, and display Your Content solely for the purpose of providing the services to you.
If you provide us with feedback, suggestions, or ideas regarding the Platform, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such feedback into our products and services without any obligation to you.
To the maximum extent permitted by applicable law:
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain types of liability, so some of the above limitations may not apply to you. In such cases, our liability shall be limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Halo Sp. z o.o., its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) the content of your advertisements, including AI-generated content that you have reviewed and deployed; or (e) any dispute between you and a third party, including advertising platforms.
You may terminate your account and these Terms at any time by canceling your subscription through your account settings or by contacting us at contact@sparqads.com. Upon cancellation, you will retain access to paid features until the end of your current billing period.
We may suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or if continued provision of the service becomes commercially impractical. We will provide reasonable notice when possible.
Upon termination, you will have 30 days to export your data (including campaign data, creative assets, and analytics) using the Platform's data export functionality or by requesting an export at contact@sparqads.com. After the 30-day period, we reserve the right to delete your data in accordance with our Privacy Policy.
Sections relating to intellectual property, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination, shall survive the termination of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts competent for the city of Katowice, Poland. This does not affect your rights as a consumer under mandatory consumer protection laws in your country of residence, where applicable.
SparqAds shall not be liable for any failure or delay in the performance of our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, epidemics, government actions or regulations, power outages, internet or telecommunications failures, cyberattacks, or failures of third-party services (including advertising platforms, cloud providers, or payment processors).
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties, or if modification is not possible, it shall be deemed severed from these Terms.
